Director Roles, Responsibilities and Liability

9:45 a.m. to 10:45 a.m.

This session will provide an in-depth review of director fiduciary and regulatory responsibilities. We will discuss the Business Judgment Rule and how its applied in the board room. Ms. Bosanko will provide a high-level overview of FCA’s updated Standards of Conduct, Cyber Risk Management, and other updated regulations. Finally, the session will focus on the protections directors have from individual personal liability for their actions (“Safety Nets”) including indemnification and Director and Officer Liability Insurance.

Learner Outcomes:

1. Participants will receive practical guidance on governance best practices both in and out of the board room.
2. A review of responsibilities outlined in FCA regulations.
3. A basic sense of expected conduct and ethical standards to serve as a director.
4. Participants will have a better understanding of, and comfort level with, the safeguards in place to protection from the risk of personal financial responsibility for serving as board members.
